The Constitution of IUAA Japan Chapter
Article I – Name
The name of this organization is Indiana University Alumni Association Japan Chapter (hereafter referred to as the “Chapter”).
Article II – Purposes
To provide a means for the association of Indiana University Alumni and friends. To advance the interests
and promote the welfare of Indiana University.
Article III – Membership
All alumni, former students, former faculty members and former fellows and associates of Indiana University living in Japan are eligible for membership in the Chapter.
Article Ⅳ – Location
The office of the Chapter is located at the residence of the President.
Article V – Officers
The Officers of the Chapter shall consist of a President, a Vice President(s), a Secretary, and a Treasurer, all of whom must hold a membership of the Chapter.
Article Ⅵ – Duties of Officers
Section 1. (President) The President shall perform the duties that pertain to the office of the President and duties that are provided in the bylaws. He/She shall preside at all meetings of the Chapter and shall be the Chairperson of the Board of Directors and ex-officio member of every Committee.
Section 2. (Vice President) The Vice President shall assist the President in the fulfillment of his/her duties. In the absence or disability of the President, or at his/her request, the Vice President shall perform the duties of the President. If the office of the President becomes vacant, he/she shall become the President for the unexpired term. If the President, with the approval of the Board of Directors, may deem it necessary or desirable, he/she may appoint additional Vice President(s) from among the Directors.
Section 3. (Secretary) The Secretary shall keep minutes of all Chapter and Board of Directors meetings, direct the mailing of meeting notices, annual reports, and membership cards, maintain the official membership roster, and record the Chapter history for presentation at the annual Founder’s Day meeting.
Section 4. (Treasurer) The Treasurer shall supervise all receipts and expenditures, and shall be in charge of financial arrangements for all meetings, programs, and events. He/She shall be an ex-officio member of all Committees.
Article Ⅶ – Board of Directors
Section 1. The Board of Directors shall consist of the Officers, Directors, and Chairpersons of the Committees provided under Article Ⅸ of this Constitution. Each member of the Board of Directors shall be a member of the Chapter.
Section 2. The Board of Directors shall have full power to fill all Chapter vacancies.
Section 3. The government of the Chapter and the direction of its activities during the interim of its meeting shall be vested in the Board of Directors.
Section 4. The Board of Directors shall have the power to establish annual dues to be collected from eligible members.
Section 5. The Board of Directors shall draw up an activity schedule for the coming year.
Section 6. The Board of Directors shall hold a minimum of two meetings per year, one before the Founder’s Day meeting to make plans therefore, and the other following the Founder’s Day meeting to draw up the annual activity schedule. A meeting of the Board of Directors must be called by the President upon the written request of two members of the Board. A majority of the Board members constitutes a quorum.
Section 7. The agenda of the Board of Directors meeting shall be approved by a majority vote of those members attending the Board of Directors meeting.
Article Ⅷ – Meetings
Section 1. The annual Founder’s Day meeting must be held after the end of each fiscal year.
Section 2. There shall be such other regular meetings as the President, with the approval of the Board of
Directors, may deem desirable.
Section 3. The President shall call a meeting upon the written request of the members. Such a meeting must be called within twenty days after the request. If not, the meeting may be called by any of Officers or members of the Board of Directors or by the ten petitioning members.
Article Ⅸ – Committees
Section 1. The Chapter shall have Membership Committee, Prospective Student Advising Committee, Founder’s Day Committee and Scholarship Committee. Committee Chairpersons shall be appointed by the President, with the approval of the Board of Directors within thirty days after the nomination and shall serve until their successors are qualified. Committee Chairperson shall select the Committee members and assign duties.
Section 2. The President, with the approval of the Board of Directors, shall appoint such additional committees as, in his/her judgment, the interests of the Chapter may require, and he/she may prescribe the duties of such committees.
Article X – Duties of Committees
Section 1. (Membership Committee) It shall conduct an annual membership drive, shall maintain a correct list of graduates, former students, former faculty members and former fellows and associates of the University. It shall perform such other duties as shall be assigned to it by the President, with the approval of the Board of Directors.
Section 2. (Prospective Student Advising Committee) It shall work with the University in the respect of providing an opportunity for young people of Japan to learn about the scholastic opportunities at the University, and perform such other duties as shall be given the Committee by the President, with the approval of the Board of Directors.
Section 3. (Founder’s Day Committee) It shall have charge of the scheduling, organizing, and promoting of the annual Founder’s Day meeting. It shall also arrange for and coordinate a program for every Chapter meeting or activity where a program is desired.
Section 4. (Scholarship Committee) It shall have charge of assisting the administering of Ando Memorial Scholarship and Japan Alumni Chapter Scholarship in Japan in cooperation with the IU Foundation and the International Programs in Bloomington. It shall have charge of other scholarship programs which may be undertaken by the Chapter in the future.
Article Ⅺ – Elections
The Officers and Directors shall be elected each year at the Founder’s Day meeting with the approval of a majority vote of those members attending the annual Founder’s Day meeting. They shall hold the office until their successors have been elected. Officers and Directors may hold the office for more than one year.
Article Ⅻ – Changes of Constitution
The Board of Directors may propose changes in this constitution, which shall become effective when approved by a majority vote of those members attending the annual Founder’s Day meeting.
